1.2 Buyer Responsibilities

1.3 Indemnity

You agree to indemnify, defend, and hold harmless Magallanes Collective LLC, Human-OS-Labs.com, its affiliates, officers, directors, employees, agents, and successors (“Merchant Parties”) from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising from:

• Your purchase, possession, or use of the products.
• Your violation of this Agreement or applicable laws.
• Any personal injury, property damage, or other harm resulting from the handling or use of the products, whether by you or third parties.

This indemnity obligation extends to your heirs, executors, administrators, successors, and assigns.

1.4 Waiver of Claims

You release, discharge, and waive any claims, demands, or causes of action against Merchant Parties arising from the purchase, possession, or use of the products. Merchant Parties shall not be liable for any direct, indirect, incidental, consequential, or special damages, regardless of the legal theory asserted.

2. General Terms of Use

3.2 E-Check/ACH Payments

By selecting e-Check/ACH payment, you authorize a one-time electronic debit from your provided bank account for the order amount. You represent that the transaction complies with all applicable laws. No changes to the payment are permitted after authorization. Retain a copy of this authorization for your records.

3.3 Verification

Human-OS-Labs.com reserves the right to verify buyer eligibility, including institutional affiliation, and may refuse or cancel orders from ineligible buyers or those suspected of intending non-research use.

This Agreement is governed by the laws of the State of Connecticut, without regard to conflict of law principles. Any disputes shall be resolved through good-faith negotiations or, if necessary, in a court of competent jurisdiction in Connecticut.

6.2 Force Majeure

Human-OS-Labs.com is not liable for delays or failures in performance due to events beyond its reasonable control, including shipping delays, customs issues, or product backorders.

6.3 Entire Agreement

This Agreement, including the Privacy Policy and Waiver Agreement, constitutes the entire agreement between you and Human-OS-Labs.com regarding the Website and supersedes all prior agreements. No agency, partnership, or employment relationship is created by this Agreement.

6.4 Severability

If any provision of this Agreement is found unenforceable, it shall be limited to the minimum extent necessary, and the remaining provisions shall remain in effect.

6.5 Amendments

Human-OS-Labs.com may modify this Agreement at any time by posting the revised terms on the Website. Continued use of the Website constitutes acceptance of the updated terms.
